Terms of Service

Effective April 15, 2026.

These Terms govern your use of Covenant (“the Service”), operated by Neverstill LLC at georgiahoacompliance.com. By using the Service you agree to these Terms. If you are acting on behalf of a homeowners' association (HOA), you confirm you are authorized to do so.

Not legal advice. Covenant is an AI-powered document analysis and generation tool. Reports, amended documents, and adoption packages produced by the Service are informational, not legal counsel. They do not create an attorney-client relationship. Before adopting any amended governing document or taking any enforcement action, consult a licensed Georgia attorney who can review your specific circumstances.

1. What the Service provides

For a one-time fee, the Service analyzes your HOA's governing documents against the requirements of Georgia Senate Bill 406 and produces: (a) a compliance report, (b) amended governing documents, and (c) an adoption package (member notice, meeting agenda, ballot, certificate of adoption, and county recording instructions). Optional add-on products — hosted community website, member voting platform, and full HOA management tools — are offered under separate terms and pricing.

You must be at least 18 years old and either (a) a board member, officer, or authorized representative of a Georgia HOA, or (b) a professional engaged by such an HOA. By placing an order you represent that your HOA has authorized the purchase.

The Covenant platform, templates, and generated artifacts depend on proprietary tooling owned by Neverstill LLC. Once your order is paid, you own the specific compliance report, amended governing documents, and adoption package delivered to you and may adopt, record, distribute, and modify them for your HOA. You may not resell the Service output as your own product, or use it on behalf of associations other than the one named on your order, without our written consent.

The Service is provided “as is” and “as available.” Except for the 30-day compliance guarantee set out in Section 4, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that AI-generated output will be perfectly accurate, or that adopting the amended documents will immunize your HOA from any particular litigation or enforcement outcome.

8. Limitation of liability

To the maximum extent permitted by law, Neverstill LLC's total liability arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost opportunities, litigation brought by or against your HOA, or damages arising from your HOA's adoption or non-adoption of the amended documents.

Some jurisdictions do not allow these limitations; in those places the above applies only to the extent permitted.

9. Indemnification

You agree to defend and indemnify Neverstill LLC against any third-party claim arising from (a) your misuse of the Service, (b) documents you upload to the Service that you did not have the right to share, or (c) your HOA's decisions about whether and how to adopt any amendment we produce.

You can stop using the Service at any time; we will keep your delivered documents and order records available per our Privacy Policy unless you ask us to delete them. We can suspend or terminate access for material breach of these Terms, with notice where practicable. Order fees paid before termination for cause are non-refundable, except where the 30-day compliance guarantee applies.

11. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the jurisdiction of those courts. You and Neverstill LLC waive any right to a jury trial.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new effective date. Your continued use of the Service after a change indicates acceptance. If a change materially disadvantages you and you have an active order, contact us and we will honor the prior Terms for the remaining scope of that order.
